Buyer’s Confidential Non-Disclosure Agreement

Confidentiality: The undersigned prospective purchaser(s) ("Buyer") hereby requests Confidential Information, currently and from this time forward, on the Business(es) represented hereby identified as the "Business Opportunities" by Sunbelt Business Brokers Bizcap Brokerage, Sunbelt Kingston ("Sunbelt"). The Buyer hereby acknowledges that Sunbelt may provide such information to the Buyer, should it be determined that the Buyer is approved to receive it. In consideration of Sunbelt providing such information, the Buyer hereby agrees:

  1. Not to divulge such information to others except to (a) their employees and/or advisors who need to know such information for the purpose of considering the purchase of said Business Opportunities and the Buyer warrants that their employees and/or advisors are obligated to and will maintain such information in strict confidence and such obligations shall survive the termination of the Buyer’s interest in the Business Opportunities, (b) or as legally required; and
  2. Should this confidentiality agreement be breached by any of the aforementioned individuals it is understood that money damages may not be a sufficient remedy for any breach of the Buyer’s obligation regarding confidentiality and it is hereby agreed that Sunbelt and the Seller(s) of said Business Opportunities will be entitled to specific performance and injunctive relief in addition to all other remedies available at law or equity as further remedies for any such breach; and
  3. To conduct ALL further inquiries into the Business Opportunities exclusively through the offices of Sunbelt.

Agency Disclosure: The Buyer acknowledges that Sunbelt represents the interests of the Seller(s) and the Buyer, and there has been, and is dual agency. All fees due Sunbelt are, and will be, the responsibility of the Seller(s). Sunbelt, as an agent to the Seller(s), acts under an Engagement and Fee Agreement with the Seller(s) and has affirmative obligations to both Buyer and Seller(s) including the fiduciary duties of loyalty, obedience, disclosure, confidentiality, reasonable care and diligence, and accounting in dealing with the Seller(s). In addition, Sunbelt has affirmative obligations to the Buyer and Seller(s) of honest dealing and disclosure.

Counsel Disclosure: The Buyer(s) is/are advised to seek counsel from a qualified accountant, attorney, environmental and any other professional parties as necessary to make an informed decision when considering the purchase of any Business Opportunities being bought or sold through Sunbelt.

Information Disclosure: The Buyer acknowledges that all information and material on each Business Opportunity that is provided by Sunbelt has been provided to Sunbelt by the Seller(s) of the Business(es) for confidential use by the Buyer for the sole purpose of evaluating said Business Opportunities as a potential Buyer. The Seller(s) believes that information to be true and accurate; however, accuracy is not guaranteed, and all information should not be considered complete. While statements may be presented concerning a matter of opinion, whether or not so identified, these are only statements of opinion. Sunbelt makes no representations or warranties, expressed or implied, regarding the accuracy of the information provided to the Buyer.

Risk Disclosure: Business Opportunities by their very nature carry risk, including obsolescence or reduced demand for service(s) or product(s), ineffective management/personnel, changes in regulatory laws and/or the local, provincial, national, or global economic conditions, and many others. Due to the risks inherent in Business Opportunities, the Buyer could incur a loss, including, but not limited to, their entire investment, at any time after acquiring a Business. Buyer acknowledges that they understand these risks and that Sunbelt cannot and does not in any way warrant or guaranty the future vitality or success of any Business Opportunities.

Canadian Anti-Spam Compliance: In compliance with the new anti-spam legislation regulating the distribution of electronic messages, Sunbelt is required to obtain your express consent in order to send you e-communications about businesses that we represent that may be of interest to you. If you wish to receive such electronic communications, please give your express consent.

By signing below the prospective Buyer acknowledges reading and understanding the disclosures stated above. Receipt of a copy and acceptance of the terms of this acknowledgement and agreement is hereby acknowledged and confirmed.
